1. The Service
Sherwood Plus is a service operated by Sherwood Network, Inc. ("Sherwood," "we," "us") that lets venues and network operators monetize unused Wi-Fi capacity through Carrier Offload. When subscribers of participating mobile carriers automatically and securely connect to your network, Sherwood pays you for the data transferred. These Terms govern your participation in Sherwood Plus.
2. Eligibility & Enrollment
You must be at least 18 years old and have lawful authority over the network you enroll. Enrollment requires a Passpoint-capable network, accurate information about your venue and equipment, and approval by Sherwood. We may decline or condition enrollment at our discretion.
3. Rewards & Payouts
Rewards accrue based on data transferred by participating carriers' subscribers, as measured by Sherwood's systems. Payouts are made in SHW or USD, at your election where available, and are settled on the Robinhood Chain. USD payouts are issued monthly once your balance meets the minimum threshold. Our measurements are final except for manifest error.
4. SHW Prelaunch Disclosure
SHW has not yet launched. No token exists today and no market price is available. SHW amounts shown in the Sherwood Plus dashboard are provisional estimates for illustration only and may change materially or be cancelled. Any distribution, if it occurs, would take place through Pons V2, the Robinhood Chain launch venue. Nothing in these Terms is an offer of securities or investment advice.
5. Your Obligations
You will keep your network operational and reasonably secure, comply with all applicable laws, avoid interference with other networks, and not manipulate traffic or reward measurement. You may not present Sherwood Plus connectivity as a product you built without our written authorization.
6. Suspension & Termination
Either party may terminate on 30 days' written notice. Sherwood may suspend or terminate immediately for breach, fraud, or legal risk. On termination, accrued rewards at or above the payout threshold are paid at the next scheduled payout; rewards are forfeited if termination results from fraud or measurement manipulation.
7. Disclaimers & Liability
Sherwood Plus is provided "as is," without warranties of any kind. Reward amounts are estimates, not guarantees. To the maximum extent permitted by law, Sherwood's total liability under these Terms is limited to the rewards actually paid to you in the three months before the claim.
